These Terms supplement, but do not replace, the terms of any such agreement.
Engagement and Payment
All client engagements begin upon execution of a written proposal or agreement and receipt of any required deposit or retainer. Payment terms are specified in the engagement agreement. Invoices not paid within the agreed period may incur late fees or result in a pause in services. We reserve the right to withhold delivery of final assets until outstanding balances are settled.
Intellectual Property
Upon receipt of full payment for a project, all original written copy, strategy documents, and creative deliverables produced by Idlewilde for a client become the property of that client. Idlewilde retains the right to describe the nature of the engagement (without disclosing confidential information) in portfolio materials, case studies, and business development contexts, unless the client requests otherwise in writing.
All content published on this website (including articles, insights, frameworks, and methodology descriptions) remains the intellectual property of Idlewilde Creative Marketing Studio and may not be reproduced or distributed without written permission.
Confidentiality
We treat all client information, including business data, customer lists, platform access credentials, revenue figures, and strategic materials, as strictly confidential. We do not share client information with third parties except as required to deliver the agreed services (for example, accessing a Klaviyo account on a client's behalf) or as required by law. Clients similarly agree to treat any Idlewilde proprietary methodologies, templates, or processes shared during an engagement as confidential.
Client Responsibilities
Effective delivery of our services depends on timely client cooperation, including:
- Providing accurate brand information, platform access, and creative assets as requested
- Responding to review and approval requests within agreed timeframes
- Ensuring all information provided to Idlewilde is truthful and does not infringe any third-party rights
Delays caused by late client response may affect project timelines without affecting payment obligations.
Results and Warranties
We bring substantial expertise and apply it rigorously to every engagement. However, marketing results depend on many factors outside our control, including market conditions, platform algorithm changes, product quality, and competitive dynamics. We do not guarantee specific revenue outcomes, open rates, conversion rates, or other performance metrics. Any figures referenced in our case studies or content represent past client results and are not a guarantee of future performance.
Limitation of Liability
To the fullest extent permitted by applicable law, Idlewilde's liability for any claim arising from our services is limited to the fees paid by the client for the specific engagement giving rise to the claim during the three months preceding the claim. We are not liable for indirect, consequential, incidental, or punitive damages.
Termination
Either party may terminate an engagement by providing written notice as specified in the applicable engagement agreement. Upon termination, the client is responsible for payment of all work completed or in progress through the date of termination. Idlewilde will deliver all completed work product upon receipt of outstanding payment.

This website is provided for informational purposes. You may not use this website in any way that is unlawful, harmful, or that interferes with its normal operation. We reserve the right to modify, suspend, or discontinue any part of the website at any time without notice.
Governing Law
These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Clark County, Nevada.
